Terms of Service
Last updated: 1 October 2026
1. Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of Validitool (the "Service"), including the website, the free checkers on it, your dashboard, and the developer API. By creating an account, generating an API key, or otherwise using the Service, you agree to be bound by these Terms.
2. What Validitool does
Validitool helps businesses check EU counterparties. It validates VAT numbers against the European Commission's VIES service and EORI numbers against the EU EORI service (and UK EORI numbers against HMRC's services), screens names against the EU, UN, UK and US OFAC sanctions lists, checks email domains for fraud signals, looks up Peppol e-invoicing registrations, Legal Entity Identifiers and Swiss, Norwegian and UK company registers, validates IBAN formats, provides VAT rate and reverse-charge guidance, and produces records and certificates of these checks, with bulk checking, monitoring and webhooks. Validitool is not affiliated with, endorsed by, or operated by the European Commission, and does not control the underlying registry data.
Results are aids, not determinations. Validitool does not guarantee the accuracy, completeness, or availability of any result, and no result replaces your own tax, legal or compliance judgement. In particular:
- VAT and EORI results reflect what the registry returned at the time of the check, or a cached copy of it. Registries can be unavailable or return incomplete data for some member states. Where you ask for it, a result from before an outage may be returned and is marked as such.
- Sanctions screening compares names against the EU Consolidated Financial Sanctions List, the UN Security Council Consolidated List, the UK Sanctions List and the US OFAC Specially Designated Nationals (SDN) List, as last downloaded from their official publishers (usually within the past day). Other lists (for example other US lists or national lists) are not covered. A potential match is a prompt for human review, not a finding that a party is sanctioned, and a "clear" result does not establish that dealing with a party is lawful. It does not replace your own sanctions compliance procedures.
- Email domain signals are indicators based on public DNS and domain registration data. They can flag legitimate domains and miss fraudulent ones, and are not proof of fraud or of legitimacy.
- IBAN checks confirm the format and checksum only, not that the account exists or who holds it.
- VAT rates and reverse-charge results are general guidance based on reference data and the general EU rules, not tax advice.
- Certificates record what was checked, when, and what the source returned. They are evidence of the check, not a guarantee of its outcome.
3. Accounts and API keys
You are responsible for maintaining the confidentiality of your account credentials and any API keys you generate, and for all activity that occurs under them. Notify us at support@validitool.com if you believe a key has been compromised, and you can revoke keys yourself from your dashboard at any time.
4. Acceptable use
You agree not to:
- circumvent or attempt to circumvent rate limits or tier restrictions, including by automating the free website checkers instead of using the API;
- resell or sublicense API access without our prior written consent;
- use the Service for any unlawful purpose, to check people or businesses without a lawful basis, or to build a database that reproduces registry data at scale beyond your own legitimate business use;
- attempt to reverse engineer, probe, or disrupt the Service's infrastructure.
We may suspend or revoke access for violations of this section.
5. Subscriptions and billing
Paid tiers are billed on a recurring basis through Paddle.com Market Ltd, our payment provider, who acts as the Merchant of Record for all purchases. This means your purchase contract for payment is with Paddle, not directly with Validitool, and Paddle handles payment collection, sales tax/VAT on your subscription, and invoicing. Subscriptions renew automatically until cancelled. You can cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period. See our Refund Policy for details on refunds.
6. Intellectual property
The Service, including its software, design, and branding, is owned by Validitool. You retain ownership of any data you submit to the Service (such as the numbers, names and email addresses you check). Our Privacy Policy explains how we handle it.
7. Termination
You may stop using the Service at any time, and delete your account yourself from your dashboard (or ask us to, at privacy@validitool.com). Deleting an account that has a subscription cancels it immediately. We may suspend or terminate your access if you violate these Terms, without prejudice to any fees already incurred.
8. Disclaimer of warranties
The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. We do not warrant that the Service will be uninterrupted or error-free, except to the extent set out in our Service Level Agreement for accounts where it has been approved.
9. Limitation of liability
To the maximum extent permitted by law, Validitool will not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including decisions made in reliance on any result, such as a validation, sanctions screening, fraud signal or reverse-charge result. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after a change constitutes acceptance of the revised Terms.
